Usage Policy

This Usage Policy  (“Usage Policy”) forms a part of the Agreement between Customer and Articulate Global, LLC (“Articulate”), and applies to Customer's access and use of the Services. The Usage Policy governs the reasonable use of features and functionality, including operational Usage Limits that may apply separate from consumption through Credit-Based Services. All capitalized terms not defined here will have the meaning assigned to them in the Terms of Service, including the incorporated Feature-Specific Terms. 

1. Definitions

1.1 "Excessive Use" means use of the Services that (a) exceeds the applicable Usage Limits; (b) constitutes a violation of the Acceptable Use Policy; or (c) is reasonably likely to cause degradation of the performance, integrity, security, or availability of the Services.

1.2 "Usage Limits" means the maximum thresholds, quotas, or restrictions on the frequency, volume, or scope of use of certain features or functionality within the Services, as set forth in this Usage Policy or the Documentation, or as otherwise communicated by Articulate to address abuse, circumvention, or material risks to the performance, integrity, security, or availability of the Services.

2. Terms

2.1 General. The Usage Limits described in this Usage Policy are operational controls designed to maintain system performance, fairness, and reliability across the Services. Published Usage Limits may be adjusted by Articulate to maintain system performance, fairness, security, or reliability as described in this Usage Policy and the Terms of Service. 

2.2 Reasonable Use. Customer will use the Services, including all features and functionality, within the applicable Usage Limits and in a manner consistent with ordinary and reasonable business use. 

2.3 Usage Limits. Usage Limits may apply on a per-User, per-course, per-artifact, per-kit, per-seat, or other basis as specified below or in the Documentation. Current Usage Limits are set forth in the table below:

2.4 Enforcement. If a Customer reaches an applicable Usage Limit, access to the affected feature or functionality may be restricted until the applicable limit resets or is otherwise resolved. Articulate reserves the right to suspend, limit, or restrict access to any feature, functionality, or the Services for Excessive Use. Articulate may also offer Customer the option to purchase additional capacity, upgrade to a higher-tier subscription, or otherwise right-size Customer’s subscription to address sustained usage above applicable Usage Limits. Repeated or sustained Excessive Use may result in termination of the affected subscription in accordance with the Agreement.

2.5 Notice. Articulate will use commercially reasonable efforts to provide Customer with reasonable notice prior to taking enforcement action under this Usage Policy, except where immediate action is necessary to protect the integrity, security, or availability of the Services.

2.6 Modifications to Usage Limits. Articulate reserves the right to modify Usage Limits and this Usage Policy at any time, but will not decrease published Usage Limits except in accordance with  the Terms of Service. Changes to Usage Limits will be reflected here and may also be communicated to Customers through the Services. Continued use of the Services following any such modification constitutes acceptance of the updated Usage Policy. 

2.7 No Credit or Refund. Fees are not reduced, credited, or refunded as a result of any restriction, suspension, loss of access to features or functionality, or termination of a Customer’s access to the Services due to Excessive Use or for reaching an applicable Usage Limit.

2.8 Interaction with Other Terms. This Usage Policy applies in addition to the Terms of Service, Feature-Specific Terms, Documentation,the Acceptable Use Policy, and any limits or restrictions set forth in an Order Form. To the extent an Order Form specifies Usage Limits for a particular Customer, those Order Form limits take precedence over the limits published in this Usage Policy. To the extent a feature is subject to both Usage Limits under this Usage Policy and consumption through Credit-Based Services, the Credit-Based Services Terms govern credit consumption and this Usage Policy governs any additional restrictions.
